These Terms of Service govern the business support services provided by AUTO PARTNERS III LLC (“Company”, “we”) to its business clients (“Client”, “you”). By requesting or accepting services, you agree to these Terms.
01 Scope of services
We provide business support services to the automotive trade, including vehicle sourcing and auction purchasing support, vehicle history research, purchase coordination, and dealer paperwork assistance. Services are administrative and advisory in nature. The scope, deliverables, turnaround and fees for each engagement are set out in the written quote or service order accepted by the Client, which forms part of these Terms.
02 Business clients only
Services are offered business-to-business to licensed motor vehicle dealers and other commercial entities. By engaging us, you confirm that you hold all licenses and registrations required for your activity and that you are acting for business purposes and not as a consumer.
03 We are not a dealer or broker of record
We do not buy, sell, own or take title to vehicles for our own account and we do not act as your legal or financial representative. All purchase decisions, bid authorizations and contracts are made by the Client in the Client's own name. We act only on written instructions and within the limits you set.
04 Client responsibilities
You are responsible for providing accurate criteria, budget ceilings, license and account information, and timely approvals; for funding purchases and auction fees; and for verifying that any vehicle, transaction or document meets your legal, regulatory and lending requirements before you rely on it.
05 Third parties
Auctions, transport carriers, history-report providers, title agents and government agencies are independent third parties. Their fees, rules, timelines and data accuracy are outside our control. We pass through their information as received and are not responsible for their acts, omissions, delays or errors.
06 Research disclaimer
Vehicle history and title research is compiled from third-party and public sources and may be incomplete or outdated. Our summaries are informational only and are not a warranty, guarantee, inspection, appraisal or legal opinion regarding condition, title, mileage or value.
07 Fees and payment
Fees are quoted as a flat amount per request or as a monthly retainer and invoiced as stated in the accepted quote. Invoices are due within the stated payment period. Late amounts may accrue interest at the maximum rate permitted by North Carolina law. Third-party costs paid on your behalf are reimbursed at cost.
08 Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform or receive the services, except where disclosure is required by law. Client data is handled as described in our Privacy Policy.
09 Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages, lost profits, lost resale margin, floor-plan interest, reconditioning costs or loss of business opportunity.
10 Term and termination
Engagements continue until the requested work is completed or until either party gives written notice. Termination does not affect fees earned or third-party costs incurred before the effective date of termination.
11 Governing law
These Terms are governed by the laws of the State of North Carolina. The parties submit to the exclusive jurisdiction of the state and federal courts located in Forsyth County, North Carolina, and will first attempt to resolve any dispute through good-faith negotiation.
12 Changes to these Terms
We may update these Terms from time to time. The effective date below indicates the current version. Continued use of the services after an update constitutes acceptance of the revised Terms.
